1. Scope and acceptance
1.1 These terms govern your use of the shopfuneraleurope.com marketplace (the “Platform”) as a Vendor.
1.2 By ticking “I agree” at registration you accept these terms. If you do not agree, you may not register or sell.
1.3 The Platform is for business (B2B) use only. By registering you confirm you act in the course of a trade, business or profession.
2. Role of the Platform
2.1 funeral europe operates an online intermediation service connecting Vendors with professional Buyers.
2.2 The contract of sale is concluded directly between you (Vendor) and the Buyer. funeral europe is not a party to that contract and is not the seller of the products.
2.3 We do not take ownership of, inspect, or warrant any product listed.
3. Eligibility and registration
3.1 You must be a legally registered business supplying funeral-sector products or services.
3.2 You must provide accurate company details and a valid VAT/tax number, and keep them current.
3.3 You are responsible for all activity under your account and for keeping credentials secure.
4. Listings and content
4.1 You are solely responsible for the accuracy, legality and completeness of your listings (descriptions, images, prices, stock, lead times).
4.2 You warrant that products comply with all applicable laws and standards (product safety, labelling, and any CE or sector-specific requirements) in the markets where they are offered.
4.3 You warrant that you own or are licensed to use all content you upload and that it does not infringe third-party rights.
4.4 You grant funeral europe a non-exclusive, royalty-free licence to host, display and promote your listings on the Platform and in related marketing.
5. Fees and commission
5.1 Current plans: Free — 10% commission on orders placed through the Platform cart; Professional — €49/month plus 5% commission; Enterprise — by agreement.
5.2 Commission is calculated on the product price excluding VAT and shipping, unless stated otherwise.
5.3 In the current manual phase, orders are processed manually and fees are invoiced/settled as agreed; automated split payments apply once activated.
5.4 We may change fees or plan terms. We will give at least 15 days’ prior notice of changes affecting you, in line with applicable platform-to-business rules; continued use after the notice period constitutes acceptance.
5.5 Introduction fee on direct deals: For any order or supply agreement concluded directly between you and a Buyer first introduced to you through the Platform (including via a bulk or export quote request), a 3% introduction fee applies on the total order value excluding VAT, payable to funeral europe. This applies to qualifying deals concluded within 12 months of the introduction.
5.6 You agree not to route or restructure such deals outside the Platform in order to avoid the introduction fee. funeral europe invoices the fee once a qualifying deal is confirmed; payment is due within 30 days of the invoice date.
6. Orders, fulfilment and payment
6.1 You are responsible for accepting, fulfilling, shipping, invoicing and providing after-sales support for your orders.
6.2 In the current manual model, buyer enquiries/orders are forwarded to you and you confirm price, availability and terms directly with the Buyer.
6.3 You are responsible for issuing valid invoices and for charging and remitting all applicable taxes. For intra-EU B2B supplies, the reverse-charge mechanism may apply where a valid VAT number is provided.
7. Data protection
7.1 Each party complies with the GDPR and Spanish data-protection law.
7.2 funeral europe processes account and order data as described in its Privacy Policy. Where you receive Buyer personal data to fulfil an order, you act as an independent controller for that data and use it only to fulfil the order.
8. Ranking
8.1 Listing order may be influenced by relevance, completeness of listing data, buyer activity, plan tier and availability. We do not accept payment for direct ranking manipulation outside the published plans.
9. Suspension and termination
9.1 You may close your account at any time.
9.2 We may restrict, suspend or terminate your account for breach of these terms, illegal or unsafe products, or risk to the Platform or its users. Where required, we will provide a statement of reasons.
9.3 Outstanding fees remain payable on termination.
10. Liability
10.1 The Platform is provided “as is” and we do not warrant uninterrupted availability.
10.2 As an intermediary, we are not liable for the products, the conduct of Buyers, or losses arising from the sale contract between you and a Buyer.
10.3 To the extent permitted by law, our total liability to you is limited to the fees you paid us in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.
11. Complaints
11.1 Vendor complaints about the Platform can be sent to sales@shopfuneraleurope.com. We aim to acknowledge within 5 business days.
12. Changes to these terms
12.1 We may update these terms. Material changes affecting Vendors take effect after at least 15 days’ notice. The current version and effective date are shown at the top.
13. Governing law
13.1 These terms are governed by Spanish law. Disputes are subject to the courts of Barcelona, without prejudice to mandatory rights.
